Terms and Conditions

• Platform means the Ziti website, mobile application, software, tools, and related services we make available from time to time.
• User or you means any individual or business that accesses or uses the platform.
• Caterer means a business user that uses Ziti to manage quotations, leads, customers, events, and business operations.
• Content means any data, text, menus, prices, images, records, notes, event details, or other materials uploaded to or generated through the platform.
• Subscription means a paid plan that provides access to premium Ziti features.

You must be at least 18 years old and legally capable of entering into a binding contract under applicable law to use the platform.

To access most features, you may need to register an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity carried out through your account
• Promptly notifying us at vivek@letsziti.com if you suspect unauthorized access

We may suspend or restrict accounts that contain false, incomplete, or misleading information.

Subject to these Terms and any applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the platform for your internal business purposes
• Use Ziti tools to create and manage customer-facing quotations
• Download and use the Ziti application on supported devices

This license does not allow you to resell, sublicense, copy, reverse engineer, modify, or create derivative works from the platform unless we expressly permit it in writing.

You agree to use the platform lawfully and in a manner consistent with these Terms. You must not:

• Use the platform for fraudulent, deceptive, or unlawful conduct
• Upload false pricing, fake customer records, misleading quotes, or harmful content
• Attempt to gain unauthorized access to other accounts, systems, or data
• Use bots, scrapers, or automated systems to extract platform data
• Infringe third-party rights, including intellectual property, privacy, or contractual rights
• Interfere with or disrupt the platform, its infrastructure, or its security controls
• Use leads or contact workflows in a way that violates applicable spam, telemarketing, or privacy laws

Ziti currently markets a Ziti Pro plan priced at Rs. 12,000 per year, unless a separate custom plan is agreed in writing. We may revise pricing, features, or packaging from time to time.

Payments are processed through third-party payment providers. By subscribing, you authorize us and our payment partners to collect the applicable fees from your selected payment method.

Unless otherwise stated at checkout, annual subscriptions do not auto-renew by default. We may offer free demos or trial access, which can be modified, limited, or withdrawn at any time.

You may cancel your subscription at any time by contacting us through email or WhatsApp. Unless we state otherwise in writing, cancellation takes effect at the end of the current billing period.

We generally offer a 7-day refund window from the date of the initial subscription purchase where the platform has not been materially used. Refund requests made after significant usage, after the refund window, or after renewal may be declined.

If a refund is approved, it will usually be processed back to the original payment method within 7 to 10 business days, subject to banking timelines.

The platform, including software, workflows, branding, designs, trademarks, content, and underlying product logic, is owned by Adgnitio Technologies (India) Private Limited or its licensors.

Except for the limited license granted in these Terms, no rights in the platform or its intellectual property are transferred to you.

You retain ownership of the content you upload to Ziti, including menus, pricing, customer records, event details, and quotations.

You grant us a limited, non-exclusive, royalty-free license to host, process, display, copy, and use that content only as needed to operate, secure, support, and improve the platform.

You represent and warrant that:

• You have the necessary rights and permissions to upload the content
• Your content does not violate law or infringe third-party rights
• You are responsible for reviewing quotations, calculations, and customer communications before sharing them externally

Ziti is a productivity and management platform. All pricing decisions, commitments to customers, service delivery, staffing, purchasing, and compliance decisions remain your responsibility.

To the maximum extent permitted by law, Adgnitio Technologies (India) Private Limited, its affiliates, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes loss of business, data, profits, revenue, goodwill, or customer opportunities arising from your use of or inability to use the platform.

Our total aggregate liability for claims arising out of the platform or these Terms will not exceed the subscription fees actually paid by you to us during the three months immediately preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Adgnitio Technologies (India) Private Limited and its personnel from claims, losses, liabilities, damages, and expenses arising out of or related to:

• Your use or misuse of the platform
• Your breach of these Terms
• Your content or your violation of third-party rights
• Disputes, complaints, or losses involving the services you provide to your own customers

You may stop using the platform at any time. We may suspend, limit, or terminate your access if:

• You violate these Terms or applicable law
• We detect fraud, abuse, or security risks
• Required payments remain overdue after notice
• We discontinue part or all of the platform

On termination, your right to use the platform ends immediately, but provisions that are intended to survive termination will continue to apply.

These Terms are governed by the laws of India, without regard to conflict of law rules.

If a dispute arises, we encourage you to contact us first at vivek@letsziti.com so we can try to resolve the matter informally.

Subject to applicable law, disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the competent courts in Panaji, Goa.

We may revise these Terms from time to time. When we make material changes, we may provide notice by email, within the app, or on the website, and we will update the date at the top of this page.

Your continued use of Ziti after revised Terms become effective means the updated Terms apply to your future use of the platform.
